SpeakDuo End User License Agreement (EULA) and Terms & Conditions

This agreement is a binding legal contract between you ("User") and SpeakDuo ("Company," "we," "us"). By downloading, installing, or using the SpeakDuo mobile application, you agree to be bound by these terms.

1. Scope of License

SpeakDuo grants you a non-transferable, non-exclusive license to use the app on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the App Store Terms of Service.

2. Subscriptions and Payments

A. Subscription Tiers: SpeakDuo offers "Weekly Duo" and "Yearly Duo" subscription plans. By subscribing, you authorize us (or our third-party payment processor) to charge the applicable recurring subscription fee to your designated payment method.

B. 7-Day Free Trial (Yearly Duo Only):

Trial Duration: The Yearly Duo plan includes a 7-day free trial period.
Automatic Conversion: Your free trial will automatically convert into a paid annual subscription at the end of the 7-day period. To avoid being charged, you must cancel the trial at least 24 hours before the 7-day period expires through your account settings.
Eligibility: Free trials are limited to one per user for new subscribers only.

C. Automatic Renewal: All subscriptions are set to automatically renew for the same duration as the initial term (e.g., weekly or yearly). To avoid being charged for the next billing cycle, you must cancel your subscription at least 24 hours prior to the renewal date.

D. Refund Policy: All payments are nonrefundable and there are no refunds or credits for partially used membership periods, unless otherwise required by the law in your jurisdiction. If you cancel your periodic subscription, you will continue to have access to the service through the end of your current billing period.

E. Payment Processors: All financial transactions made in connection with the Service will be processed by a third party (such as Apple) in accordance with their respective terms of use and privacy policy. We encourage you to learn about the practices of such third parties. In no event will SpeakDuo be responsible for the actions or inactions of any third-party payment processor, including, but not limited to, system downtime or payment service outages. Please note that for purchases made through the Apple App Store, SpeakDuo cannot directly issue refunds; these are handled exclusively by Apple.

As a core functionality of SpeakDuo, the app utilizes Artificial Intelligence to provide language feedback. By using the app, you agree to the following:

Audio Transmission: You explicitly grant SpeakDuo permission to record and transmit your voice audio to our secure servers and verified third-party AI providers (including OpenAI, Microsoft Azure, Google Cloud, AWS Amazon Transcribe, and Groq).
Processing Purpose: Data is transmitted solely for the purpose of real-time transcription, pronunciation assessment, and linguistic feedback generation.
Data Security: We implement industry-standard encryption for data in transit and at rest.
Privacy Assurance: We do not use your voice data to train foundational models of third-party providers. Your data is used exclusively to deliver your personalized learning experience. For more details, see our Privacy Policy.

4. Storage and Deletion

Cloud Storage: Audio data is stored in secure cloud environments (AWS S3/R2).
Retention: Audio is temporarily stored for processing and may be persisted as "Recordings" for your personal review and progress tracking.
User Control: You may delete your saved recordings and account data at any time through the in-app settings.

5. AI Accuracy Disclaimer

Feedback, corrections, and translations are generated by automated AI processes. While we strive for high accuracy in language assessment, SpeakDuo does not guarantee 100% correctness of AI-generated feedback. The app is provided as a supplemental tool for language learning, and SpeakDuo is not liable for errors or omissions in the AI output.

6. Live Workshop Guidelines

A. Camera Policy: To ensure safety, users are required to keep cameras turned on during live sessions. SpeakDuo reserves the right to remove participants with cameras off without a refund.

B. Human Moderators: We employ human moderators in live sessions for safety and compliance.

C. Prohibited Conduct: You may not use offensive, harassing, or discriminatory language. Recording or distributing live sessions outside the platform is strictly prohibited.

D. Reporting & Blocking: You may report or block users via in-app functions. We review all reports within 24 hours. False or malicious reporting may result in account suspension.

7. Service Content & Safety

A. Account Responsibility: You are fully responsible for all acts occurring under your account.

B. Service Changes: We may modify or suspend parts of the service for security, performance, or legal reasons. Prior notice will be given for material changes when practicable.

C. Advertisements: SpeakDuo may provide customized services and advertisements based on service use records to help keep the service available.

D. Disciplinary Actions: SpeakDuo may temporarily or permanently terminate accounts or remove content to maintain the safety and integrity of the app.

8. Further Conditions

Acknowledgement: This agreement is between you and SpeakDuo only, not Apple. SpeakDuo is solely responsible for the app and its content.
Maintenance and Support: SpeakDuo is solely responsible for providing any maintenance and support services for the app. Apple has no obligation to provide any maintenance or support.
Warranty: In the event of any failure of the app to conform to any applicable warranty, you may notify Apple for a refund of the purchase price; to the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever.
Product Claims: SpeakDuo, not Apple, is responsible for addressing any claims related to the app, including product liability, legal/regulatory non-compliance, or consumer protection.
Intellectual Property Rights: In the event of a third-party claim that the app infringes on another party's intellectual property rights, SpeakDuo will be solely responsible for the investigation, defense, and settlement of such claims.
Legal Compliance: You represent that (i) you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Third Party Beneficiary: You acknowledge that Apple and its subsidiaries are third-party beneficiaries of this EULA and have the right to enforce it against you.

9. Termination

The license is effective until terminated by you or SpeakDuo. Your rights under this license will terminate automatically if you fail to comply with any of its terms.
